Zoul Terms of Use (Global Version)

Entity: Zoul ESG FZCO, Dubai Silicon Oasis, United Arab Emirates (“Zoul,” “we,” “our,” “us”)

These Terms govern your use of Zoul’s websites (including zoul.app and zoulmeditation.com) and mobile applications, together with services, content, and features provided therein (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Definitions

App Store Provider means Apple App Store or Google Play.
Subscription means a recurring paid plan unlocking premium features/content.
User Content means content you upload, submit, or generate through the Services.
You means the individual or entity using the Services.

2. Eligibility

You must be at least 16 in the UK/EU and 13 in the US. If local law requires a higher age for Zoul to process your data without parental consent, you must meet that higher age. If you are using the Services on behalf of an entity, you represent you have authority to bind that entity.

3. Account Registration & Security

Provide accurate information; keep your password confidential; you are responsible for all activity under your account.
Enable multi-factor authentication where available.
Notify us promptly of any unauthorized use.
We may suspend or terminate accounts to protect users, security, or our Services.

4. Subscriptions, Billing, Trials & Renewals

4.1 Auto-Renewal. Subscriptions renew automatically until cancelled. You authorize recurring charges to your selected payment method at the start of each billing cycle.

4.2 Where to Manage.
Web purchases: manage/cancel at account.zoul.app/subscriptions at least 24 hours before renewal.
App Store purchases: manage directly in your Apple/Google account, and follow their respective cancellation policies and notice periods. Zoul cannot cancel or refund App Store transactions.

4.3 Price Changes. We may change prices; new prices take effect on your next renewal. We’ll give ≥30 days’ email notice. If you disagree, cancel before renewal.
4.4 Taxes & Fees. Prices may include/exclude VAT/GST as indicated. You are responsible for bank/FX fees and any applicable taxes (other than Zoul’s income taxes).
4.5 Trials & Promotions. Trials convert to paid unless cancelled ≥24 hours before trial ends. We may verify eligibility and modify/stop offers at any time.
4.6 No Refunds (Web). Except where mandatory consumer law requires otherwise, fees are non-refundable and non-cancelable.
4.7 Billing Issues. Report billing errors within 60 days of charge for correction.
4.8 Overdue & Downgrade. We may limit features, suspend, or downgrade accounts for overdue fees until paid. Downgrades take effect at the end of the current billing cycle.

Merchant of Record (Stores). For in-app purchases, Apple/Google is the merchant of record and their Terms of Sale and refund policies apply.

5. Right of Withdrawal (EU/UK Web Customers)

For website purchases only, you have 14 days to cancel for a full refund if you have not accessed premium content.
By clicking “Start Now” or using premium features within the withdrawal period, you request immediate service and waive this right, unless the Services are defective or local mandatory law provides otherwise.

6. Acceptable Use

You agree not to:
a) violate laws;
b) infringe IP rights;
c) upload illegal, harmful, defamatory, or deceptive content;
d) attempt unauthorized access, probing, or reverse engineering;
e) use bots/scrapers or circumvent technical controls;
f) impersonate others or misrepresent affiliation;
g) interfere with or overload the Services;
h) use the Services to build competing foundation or large language models.

We may suspend or terminate for violations.

7. Intellectual Property & License

All Zoul content and software are owned by or licensed to Zoul and protected by IP laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, lawful purposes.
You retain ownership of your User Content but grant Zoul a worldwide, royalty-free, sublicensable license to use, host, reproduce, and display it solely to operate, secure, improve, personalize, and support the Services.
If you believe your rights are infringed, contact support@zoul.app with proof of ownership and details. We may remove content in good faith and terminate repeat infringers.

8. AI Features & Outputs

8.1 AI-Generated Outputs. Inputs you provide and outputs you receive are User Content. Due to convergent prompts, other users may receive similar outputs.
8.2 Sensitive Input Warning. Do not input confidential, medical, or sensitive personal data into AI features. AI is not designed for secure or privileged data processing.
8.3 No Reliance. AI outputs may be inaccurate or incomplete. Verify facts independently, especially for medical, legal, or financial decisions.
8.4 Attribution & Use. When sharing AI-generated outputs publicly, credit Zoul’s AI feature appropriately and do not misrepresent outputs as human-authored expert advice.
8.5 Usage Limits & Add-Ons. AI usage may be metered; unused capacity may not carry over. Add-ons are non-transferable and non-refundable unless required by law.

9. Data Privacy & Security

Zoul processes personal data per our Privacy Policy and Cookies Policy, compliant with GDPR, UAE PDPL, and ISO 27001 standards.
We may process sensitive personal data (e.g., emotional state, meditation patterns, or sleep-related data) to deliver personalized experiences. Such data is encrypted, anonymized, and never used to train AI models in an identifiable form.
Cross-border transfers use safeguards such as Standard Contractual Clauses (SCCs) to ensure lawful protection.

10. Third-Party Services & Integrations

The Services may interoperate with third-party products (e.g., Apple/Google, Stripe, analytics, or AI providers). Their terms and privacy policies apply.
Zoul is not liable for acts/omissions or data use by third parties. You authorize data transmission necessary for interoperability.

11. Wellness, Safety & Medical Disclaimers

Zoul provides well-being and educational content only; it is not a medical device or diagnostic tool.
It cannot diagnose, treat, or cure physical or psychological conditions.
If you have a mental health condition or are under medical supervision, consult a qualified physician before using meditation or breathing programs.
Do not use Zoul while driving or operating machinery. In emergencies, contact local emergency services immediately.

12. No Warranties (“AS IS”)

To the maximum extent permitted by law, the Services (including beta features) are provided “AS IS” and “AS AVAILABLE.”
We do not warrant uninterrupted, timely, secure, or error-free operation; compatibility with devices; accuracy or reliability of any content or AI outputs; or correction of all defects.

13. Indemnification

You agree to defend and hold harmless Zoul, its affiliates, officers, and partners against claims, damages, or losses arising from (a) your User Content, (b) your breach of these Terms, or (c) misuse of the Services. Mandatory consumer rights remain unaffected.

14. Limitation of Liability

Zoul is not liable for indirect, incidental, special, or consequential damages, or for lost profits or data.
Our total liability shall not exceed the amount paid to Zoul in the 12 months prior to the event, or USD 100, whichever is higher.
Nothing limits liability for death, personal injury, or fraud.

15. Suspension & Termination

We may suspend or terminate access for security risks, non-payment, inactivity, or breach.
Upon termination, your right to use the Services ends. Relevant clauses (IP, payments, disclaimers, liability) will survive.

16. Account Deletion & Data Retention

Upon deletion, your data and User Content will be permanently removed from live systems within 30–90 days, except where retention is required for legal, tax, or security purposes (e.g., fraud prevention or transaction records).

17. Modifications to the Services

We may add, modify, or discontinue features with reasonable notice. Material changes will be communicated via email or in-app notice.

18. Modifications to These Terms

We will give ≥30 days’ notice for material updates (via email or in-product).
Continued use after the effective date constitutes acceptance.
If you disagree, stop using the Services and cancel your subscription before the change takes effect.

19. Export Controls & Sanctions

You agree not to access or use the Services in violation of applicable export, re-export, or sanctions laws of the UAE, UK, EU, or US.

20. Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, acts of government, war, terrorism, civil unrest, or cyberattacks.

21. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC).
Disputes shall be resolved by arbitration under DIAC Rules, in English, seated in DIFC.
Consumers in the EU/UK may bring claims under their local mandatory laws.
Small claims may be brought before competent local courts where permitted.

22. Class Action Waiver

Except where prohibited by law, disputes must be brought individually and not as class actions.
If this waiver is unenforceable for a claim, that claim may proceed only in a court, not arbitration.

23. Severability & Waiver

If any provision is unenforceable, the remainder remains valid.
Our failure to enforce a term is not a waiver.

24. Communications & Notices

You consent to receive notices via email or in-app messages. Keep your contact information current.

25. Accessibility

Zoul aligns its accessibility roadmap with the European Accessibility Act (EAA Directive 2019/882) and follows WCAG 2.1 AA standards to ensure inclusive access for all users.

26. Open Source & Third-Party Code

Certain components are licensed under open-source terms. Where conflicts arise, open-source licenses control for those components only.

27. Government End-Users

The Services are “commercial computer software.” Rights are limited to those provided in these Terms.

28. Entire Agreement; Order of Precedence

These Terms, together with the Privacy Policy, Cookies Policy, and any plan-specific terms, form the entire agreement.
Order of precedence: (1) plan-specific terms, (2) in-product notices, (3) these Terms, (4) Privacy/Cookie Policies.

29. Governing Language

These Terms may be translated, but the English version prevails.
